Recording Policy

Recording & Meeting Capture Policy

Vivora AI offers features that let you record meetings and generate automated transcripts for classes and study groups. You are solely responsible for how you capture and share recordings. By using these features, you agree to:

1) Obtain and maintain all legally required notices and consents from every participant before recording, regardless of whether your jurisdiction follows one‑party or all‑party consent rules.

2) Comply with your institution’s policies and any applicable course or instructor rules regarding recording, distribution, and reuse of class content.

3) Avoid recording private areas or conversations where participants have a reasonable expectation of privacy and refrain from collecting sensitive personal information without a lawful basis and proper consent.

4) Not remove, obscure, or disable any in‑product indicators that a recording or transcription is in progress, and not misrepresent whether recording is occurring.

5) Minors in Recordings. If recordings may include minors, you are responsible for obtaining any required parental or school authorization and complying with COPPA and applicable student‑privacy laws (e.g., FERPA in U.S. K–12 contexts).

Storage & Deletion. Recordings and transcripts you create are stored in your account and can be deleted by you at any time. We may retain limited backup copies for a time reasonably necessary for security, audit, and legal compliance.

No Advice; Allocation of Responsibility. Vivora AI does not provide legal advice and is not responsible for your compliance with recording, privacy, or institutional rules. You agree to indemnify Vivora AI for claims arising from unlawful or unauthorized recording, transcription, or sharing.

License to View Vivora Content

License & Acceptable Use of the Service

Eligibility; Accounts. You must be (a) at least 13 years old (or the minimum age of digital consent where you live) and able to form a binding contract, or (b) using a School‑Managed Account created by an educational institution that has obtained all required notices and consents. If you are under 13 in the U.S. (or under the applicable age in the EEA/UK), you may use the Service only after we receive verifiable parental consent or valid school authorization consistent with COPPA and applicable law.

Service Content. Subject to these Terms, Vivora AI grants you a personal, limited, non‑exclusive, revocable, non‑transferable license to access and use the Service and any Vivora‑provided content for your own educational, non‑commercial use.

Feedback. If you provide ideas or suggestions (“Feedback”), you grant Vivora AI a perpetual, worldwide, royalty‑free license to use the Feedback without restrictions or attribution.

Your Content & License to Us. You retain ownership of the content you upload or import (e.g., audio, video, documents, links). You grant Vivora AI a worldwide, non‑exclusive, royalty‑free license to host, store, cache, transcode, analyze, and create derivative works from your content (such as transcripts, summaries, notes, flashcards, quizzes), solely to operate, maintain, secure, and improve the Service; to provide support; to enforce these Terms; and to comply with law. You may delete your content at any time; we may retain limited copies for backup, archival, or legal purposes.

Fair Use & Limits. We may apply reasonable access, rate, and storage limits and may throttle or suspend accounts that exceed fair use, attempt to circumvent limits, or share individual licenses.

Automated Access. You must not access the Service via robots, scrapers, or other automated means unless we provide written authorization or an official API/SDK.

Third‑Party Material & Integrations. When importing or linking material (e.g., website scraping, LMS integrations such as Canvas/Camino, or social platforms like YouTube/Reddit/Instagram), you represent that you have all necessary rights to do so and that your use complies with the third party’s terms and applicable law (including anti‑circumvention rules). Do not upload DRM‑protected or paywalled content unless you have explicit permission.

Open‑Source Components. The Service may include open‑source software subject to its own licenses. We will make applicable notices available and the open‑source licenses will govern those components.

AI & Beta Features. Some capabilities (e.g., adaptive learning, auto‑categorization, AI chat) may be offered as beta and may change, break, or be withdrawn. AI‑generated outputs can be inaccurate or incomplete; verify before relying on them for academic decisions.

Disclaimers. THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIVORA AI AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE OR UNINTERRUPTED.

Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIVORA AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNTS PAID BY YOU TO VIVORA AI FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Indemnity. You will defend, indemnify, and hold harmless Vivora AI, its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Content, your use of the Service, or your breach of these Terms or applicable law.

Account Security & Communications. Keep your credentials confidential and notify us of suspected misuse. If you enable phone verification, you consent to receive transactional SMS (message/data rates may apply). You may opt out of non‑essential communications.

Fulfillment Policy

Billing, Subscriptions & Refunds

Plans & Auto‑Renewal. Vivora AI offers Free and Pro tiers. Paid subscriptions are billed in advance and renew automatically until canceled. By subscribing, you authorize us (and our payment processors, including Stripe and any successors) to charge your payment method each billing cycle for fees, taxes, and any prorated adjustments.

Upgrades & Downgrades. You can change tiers at any time from Settings or the billing portal. Upgrades take effect immediately with prorated charges; downgrades take effect at the end of the current term.

Cancellation. You may cancel at any time in the billing portal. You will retain Pro access until the end of your current paid term, after which your account will revert to the Free tier and applicable storage/feature limits.

Refunds. Refunds are provided only if you experience a technical issue that we are unable to resolve within 7 days after you report it and you request a refund within 30 days of purchase. We do not issue refunds for unused periods, forgotten cancellations, or partial months, except where required by law. Your statutory rights (if any) remain unaffected.

Payment Methods & Delinquency. Payments are processed by Stripe or another designated processor. If a payment fails or your account becomes delinquent, we may suspend or downgrade access until payment is restored.

Mobile & In‑App Purchases. If you purchase via a mobile app store, billing and refunds are governed by that store’s terms; cancellation and refunds are handled by the store.

Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.

Account Deletion & Data Retention. Deleting your account removes your content from active systems, subject to limited retention in backups and logs for a reasonable period for security, fraud prevention, and legal compliance.

Promotions & Referrals. Any referral or promotional program is subject to separate terms; self‑referrals and abuse are prohibited.

Respect for Rights. We respect the intellectual property rights of faculty, institutions, creators, and platforms.

Prohibited Actions. Uploading or distributing copyrighted material (including faculty‑generated materials) without permission; sharing recordings or transcripts beyond personal educational use without permission; violating institutional policies; or circumventing DRM/access controls is prohibited.

Third‑Party Platforms & LMS Integrations. If you connect an LMS (e.g., Canvas) or import content from websites or social media, you must comply with those services’ terms. You are responsible for permissions needed to access and use such materials within Vivora AI.

DMCA Notice & Takedown. If you believe material on the Service infringes your copyrights, send a notice to support@vivora.ai containing: (a) your contact information; (b) a description of the copyrighted work; (c) the location of the material to be removed; (d) a statement of good‑faith belief that the use is not authorized; and (e) your electronic or physical signature.

Counter‑Notice. If you believe content was removed in error, send a counter‑notice with your contact information, identification of the removed material and where it appeared, a statement under penalty of perjury that the removal was a mistake or misidentification, and your consent to the jurisdiction of an appropriate court. Upon receipt of a valid counter‑notice, we may restore the content in accordance with the DMCA.

Accountability and Consequences

Upon receipt of a valid notice, we may promptly remove or disable access to the material and notify the user. Violations of this policy may result in removal of content, suspension, or termination of access, at our discretion. Vivora AI enforces a repeat‑infringer policy consistent with the DMCA. We also reserve the right to refer matters to rights holders or authorities where appropriate.

Collaboration with Academic Institutions

Vivora AI welcomes partnerships with academic institutions to ensure appropriate use of our platform. If you're an institutional representative wishing to discuss guidelines for student and faculty use of Vivora AI, please contact us at support@vivora.ai.

Vivora AI will not share user-uploaded content or account information with universities or other institutions unless formally requested through appropriate legal or administrative channels.

Honor Code

Vivora AI is designed to complement—not replace—your learning. You agree not to use the Service to cheat, plagiarize, or gain unfair advantage. Prohibited uses include: sharing test or assessment materials; submitting AI‑generated content as your own work; using the Service during closed‑book or proctored assessments unless explicitly permitted; or assisting others in any of the foregoing. Violations may result in content removal, account suspension, or collaboration with your institution when legally appropriate.

AI Output Caution. AI‑generated notes, flashcards, quizzes, and chatbot responses may be inaccurate, incomplete, or outdated. Always verify important information and consult your instructor or course materials. Vivora AI does not guarantee academic outcomes.

Analytics & Tracking. To improve the Service, we use analytics and diagnostics tools (e.g., Google Analytics and PostHog) that may collect usage data, heatmaps, and session recordings. See our Privacy Policy for details on what we collect, your choices, and retention. Where required by law, we will obtain your consent before enabling such tools.

Termination & Suspension. We may suspend or terminate your access (and remove or restrict content) if you breach these Terms, create risk or legal exposure, or fail to pay fees. You may stop using the Service at any time and may request account deletion. Upon termination, your license ends and Sections (Ownership; Feedback; Fees; Disclaimers; Limitation of Liability; Indemnity; Dispute Resolution; Export; App Terms; Survival) survive.

Changes to This Policy

We may modify these Terms from time to time. When we make material changes, we will post the updated Terms on our website and update the “Last Updated” date. Changes become effective upon posting unless otherwise stated. Your continued use of the Service after changes become effective constitutes acceptance.

Governing Law & Venue. These Terms are governed by the laws of Delaware, USA, without regard to conflict‑of‑laws rules. Except as set out below, the exclusive venue for disputes is the state or federal courts located in Delaware, and you and Vivora AI consent to personal jurisdiction there. 

Informal Resolution. Before filing a claim, you and Vivora AI agree to try to resolve the dispute informally for 30 days.

Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration under the Federal Arbitration Act and the rules of [NAM or AAA], rather than in court, except that either party may seek relief in small‑claims court. The arbitrator may award individual relief only.

Class Action/Jury Trial Waiver. YOU AND VIVORA AI WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If a court finds this waiver unenforceable, this “Arbitration” section will be null and void as to that dispute.

Export Controls. You must comply with U.S. and international export laws and sanctions.

Electronic Communications. We may send you transactional emails and in‑product notices. By using the Service, you consent to receive these electronic communications.

Assignment. You may not assign these Terms without our consent; we may assign them.

Severability; Waiver. If a term is unenforceable, the rest remains in effect. Our failure to enforce is not a waiver.

Entire Agreement; Survival. These Terms, with linked policies, are the entire agreement. Provisions that by their nature should survive termination do so.
